HeyToken Terms of Service

These Terms of Service (the Terms) govern your access to and use of the HeyToken website, console, application programming interfaces, model-routing services, documentation, and related services (collectively, the Services). The Services are operated by VITANCE TECHNOLOGY (HK) LIMITED (HeyToken, we, us, or our).
By creating an account, purchasing Credits, creating or using an API key, or otherwise accessing or using the Services, you agree to these Terms and to the Privacy Policy and Refund Policy. If you use the Services for an organisation, you represent and warrant that you have authority to bind that organisation, and you includes that organisation.
1. The Services
HeyToken provides a unified, pay-as-you-go API and related console that enables access to certain third-party artificial-intelligence models and related capabilities. Our APIs may be compatible with specified OpenAI or Anthropic API formats. Compatibility does not mean that HeyToken is affiliated with, endorsed by, or acting on behalf of OpenAI, Anthropic, or any other third party.
The available models, functionality, prices, limits, and documentation may change. Third-party model providers and infrastructure providers may modify, restrict, degrade, or discontinue their services. We may route requests through available providers or channels to operate the Services.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You must provide accurate account information and keep it current. You are responsible for all activity occurring through your account and API keys.
Keep API keys confidential and use reasonable security measures to protect them. Do not embed a key in public client-side code, share it outside your authorised organisation, or permit unauthorised access. Notify us promptly at [email protected] if you suspect unauthorised use. We may suspend, rotate, or revoke a key where reasonably necessary for security or compliance.
3. API Access and Usage-Based Billing
Access to the Services requires an account and, where applicable, a valid API key. Charges are based on the published rates for the applicable model and usage, including input and output tokens and any other stated usage metric. Usage records and our reasonable measurement methods are conclusive for billing purposes unless there is a demonstrable error.
You are responsible for monitoring your balance, API-key limits, and usage. We may reject, limit, or stop requests when your balance is insufficient, a quota is reached, a model or upstream provider is unavailable, or we reasonably believe this is necessary for security, legal compliance, or service integrity.
4. Credits and Payments
You may add prepaid service credits (Credits) to your account wallet in the currency and amounts made available in the console. Credits are not money, stored value, legal tender, a bank account, or transferable property. Credits may only be used for the Services and may not be sold, transferred, exchanged, or redeemed for cash except as expressly stated in the Refund Policy or required by applicable law.
Payments are processed by independent third-party payment service providers. We do not store full payment-card details. You authorise us and our payment providers to charge the payment method you select for authorised purchases, taxes, and lawful adjustments.
Promotional, trial, or goodwill credits have no cash value, are non-transferable, and are not refundable. They may have additional terms and expiry dates shown when issued.
5. Credit Validity and Inactive Accounts
Purchased Credits do not expire while your account remains active and in good standing. An account may be treated as inactive after 24 consecutive months without login, top-up, or API usage. Before taking action affecting unused purchased Credits, we will use reasonable efforts to provide at least two notices to the email address associated with the account, with the final notice at least 30 days before the proposed action.
We may suspend or close an account and restrict or hold Credits where required by law, to investigate fraud or payment disputes, or because of a material breach of these Terms. Any treatment of unused Credits will remain subject to the Refund Policy and applicable law.
6. Refunds
Refunds are governed by the Refund Policy, which forms part of these Terms. In summary, a refund for a purchase of entirely unused Credits may be requested within 14 calendar days after the payment was processed, subject to the conditions in that policy. Rights that cannot lawfully be excluded are not limited by these Terms or the Refund Policy.
7. Your Inputs, Outputs, and Responsibilities
You may submit prompts, files, code, data, and other materials to the Services (Input) and receive responses or other results (Output). As between you and HeyToken, you retain any rights you have in your Input, and you are responsible for Input, Output, and your use of them.
You represent and warrant that you have all rights, permissions, notices, and lawful bases needed to submit Input and to use the Services. You must not submit personal data, confidential information, regulated data, or third-party content unless you are authorised to do so and have assessed whether the Services are appropriate for that data.
Outputs may be inaccurate, incomplete, unsafe, unavailable, or non-unique. They are generated by third-party models and are not professional advice. You must independently assess and verify Output before relying on, publishing, or using it. You must not use Output as the sole basis for a decision that has legal or material effects on a person, including decisions about employment, credit, housing, insurance, education, healthcare, legal services, or financial services.
8. Acceptable Use
You must comply with these Terms, applicable law, and applicable third-party provider terms and policies. You must not use, or allow others to use, the Services to:
- violate law or the rights, privacy, intellectual-property rights, or safety of another person;
- generate, distribute, facilitate, or promote fraud, phishing, impersonation, deceptive deepfakes, harassment, exploitation, or other harmful or unlawful content;
- create or distribute malware, steal credentials, attack systems, evade access controls, or otherwise compromise security;
- conduct unlawful surveillance, process personal data without authorisation, or facilitate prohibited weapons, sanctioned activities, or other restricted end uses;
- bypass rate limits, safety measures, access controls, or payment controls, or reverse engineer the Services except where prohibited by law;
- resell, sublicense, share, or make the Services or an API key available to unauthorised parties without our prior written permission;
- interfere with the Services, scrape or probe them in a manner that causes excessive load, or use them to develop a competing model-routing service; or
- use the Services in a way that violates the terms or usage policies of an upstream provider.
9. Restricted Persons and Locations
You represent that you are not located in, ordinarily resident in, organised under the laws of, or owned or controlled by a person in a jurisdiction subject to comprehensive trade restrictions applicable to the Services, and that you are not a person subject to applicable sanctions or export-control restrictions. You must not use the Services for any prohibited destination, end use, or end user. We may restrict access as required to comply with applicable trade, sanctions, export-control, and anti-money-laundering laws.
10. Service Changes, Availability, and Support
We may change, suspend, or discontinue any part of the Services, including a model, endpoint, price, feature, or usage limit. We will use reasonable efforts to provide notice of material adverse changes where practicable, but do not guarantee uninterrupted service, a particular model, output quality, latency, availability, or failover result.
The Services are provided on an as available basis. Planned or unplanned maintenance, network conditions, third-party failures, security incidents, and events outside our reasonable control may affect the Services. Contact [email protected] for support.
11. Privacy and Data Handling
Our Privacy Policy explains how we collect, use, retain, disclose, and protect personal data. By using the Services, you acknowledge that requests may be processed by third-party model, cloud, security, and payment providers, including providers located outside Hong Kong. We do not use your Inputs or Outputs to train or improve HeyToken's own models.
12. Intellectual Property
We and our licensors own all rights, title, and interest in the Services, including software, documentation, branding, and platform content, excluding your Input and any rights you may have in Output. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal purposes.
You grant us and our service providers a limited right to process your Input and Output only as necessary to provide, secure, support, and improve the operation of the Services, enforce these Terms, and comply with law, subject to the Privacy Policy.
13. Feedback
If you provide suggestions, ideas, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation. Do not provide feedback that you consider confidential.
14. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate your account, API keys, or access immediately if we reasonably believe you have breached these Terms, created security or legal risk, failed to pay amounts due, or if suspension is required by law or an upstream provider.
Termination does not affect accrued charges, obligations, or rights that by their nature should survive. The treatment of unused purchased Credits is governed by the Refund Policy and applicable law.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUTS, AND THIRD-PARTY MODELS ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.
Nothing in these Terms excludes a warranty, condition, or right that cannot lawfully be excluded or limited.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYTOKEN AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYTOKEN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HEYTOKEN FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100.
These limitations do not limit liability that cannot lawfully be limited, including liability for fraud or fraudulent misrepresentation.
17. Indemnity
To the maximum extent permitted by law, you will indemnify and hold harmless HeyToken and its affiliates, directors, employees, agents, licensors, and suppliers from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your Input, Output, use of the Services, breach of these Terms, or violation of law or third-party rights.
18. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on the Services with a revised effective date. For material changes, we will use reasonable efforts to provide advance notice, such as by email or through the console. Your continued use after the effective date of updated Terms constitutes acceptance, to the extent permitted by law.
19. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Hong Kong, without regard to conflict-of-laws principles. The courts of Hong Kong will have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the Services, except where applicable law gives you a non-waivable right to bring a claim elsewhere.
20. General
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and HeyToken about the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganisation, or sale of assets. Notices to you may be provided through the Services or the email address associated with your account.
